Terms of Service

These Terms govern your access to and use of FlowTC (flowtc.xyz), an over-the-counter (OTC) desk for crypto-to-crypto swaps. By creating an account or using the platform, you agree to these Terms.

Eligibility

You must be at least 18 years old and legally permitted to use digital-asset services in your jurisdiction. FlowTC is not available where its use would be unlawful.

Your account

You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for all activity under your account. Notify us immediately of any unauthorised access.

Swaps and settlement

Quotes are indicative until you confirm them. Once a swap is funded and settled on-chain, the transaction is final and irreversible. You are solely responsible for providing correct wallet addresses and selecting the correct network — assets sent to an incorrect address or network may be unrecoverable.

Fees

Applicable fees are shown before you confirm a swap. The rate you confirm is the rate that applies to that swap.

Acceptable use

You may not use FlowTC for any unlawful purpose, including money laundering, sanctions evasion, or fraud. We may request identity verification and may suspend or close accounts that breach these Terms or applicable law.

The assets you send us — your warranties

Each time you fund a swap, you warrant to us that the assets are lawfully yours to trade; that they are not the proceeds of crime and are not connected to fraud, theft, ransomware, darknet markets, sanctioned persons or entities, or any other unlawful activity; and that sending them to us breaches no law, court order, or obligation that applies to you.

These warranties matter because a blockchain carries its history with it. When you transfer an asset to us, its entire transaction record travels with it and becomes part of ours. A coin's past therefore does not stay with you — it follows the asset into our hands, into the hands of the counterparties we settle through, and onward to whoever holds it next.

You are in a far better position than we are to know where your assets came from. If you have any doubt about the provenance of the assets you intend to send, do not send them.

Blacklisting, freezing, and action by third parties

Many of the assets traded through FlowTC are not neutral bearer instruments. Stablecoins such as USDT and USDC are issued by centralised companies that retain, and regularly exercise, the technical ability to freeze balances and blacklist addresses — often at the direction of law enforcement and typically without notice to, or any right of appeal for, the address holder. Centralised exchanges, custodians, payment providers, and even some decentralised protocols and their front-ends apply their own screening and may block, quarantine, or seize assets they consider tainted.

None of these parties act for us, and none of them require our consent. We do not issue the tokens we trade, we do not operate the venues that may screen them, and we have no power to reverse, appeal, or compel the release of any freeze that any of them imposes. Once such a decision is made, it is generally irreversible by anyone other than the party that made it.

Accordingly, and to the maximum extent permitted by law, FlowTC accepts no liability for any loss, delay, seizure, or denial of access to assets arising from: an issuer freezing, blacklisting, burning, or reissuing tokens; a centralised or decentralised exchange, bridge, custodian, wallet provider, or protocol freezing, rejecting, quarantining, or confiscating assets; assets you deliver to us being flagged, scored, or labelled by blockchain-analytics providers, whether that assessment is accurate or not; or any action taken by a law-enforcement, regulatory, tax, or judicial authority in any jurisdiction in relation to assets, addresses, or transactions connected to you.

This allocation of risk applies whether the assets affected are the ones you sent us, the ones we delivered to you, or assets held further along the chain — and it applies regardless of when the freeze occurs, including long after your swap has settled. It is not conditional on fault: an address may be flagged by automated heuristics that are simply wrong, and the practical outcome is the same.

Screening, refusal, and delay

We screen deposits and payout addresses and may decline to begin, continue, or complete a swap where an asset, address, or counterparty raises a compliance or sanctions concern, or where we are required or advised to do so. We may also hold assets for as long as reasonably necessary to complete that review or to comply with a lawful request.

Where we lawfully can and where it is practical, we will tell you what is happening and return the assets we received to the address they came from, net of any network fees and unrecoverable costs. There will be cases where the law prevents us from doing either — including where we are prohibited from disclosing that a report has been made. We will not unreasonably withhold assets, but a swap is not guaranteed until it has settled.

Indemnity

You agree to indemnify FlowTC and its personnel against any loss, liability, penalty, or reasonable cost we incur as a result of your breach of these Terms, of the warranties you give above, or of any applicable law — including costs arising where assets you delivered to us cause our own accounts, addresses, or counterparty relationships to be frozen, restricted, or terminated.

No advice

FlowTC does not provide investment, financial, legal, or tax advice. Nothing on the platform is a recommendation to enter into any transaction. You trade at your own risk.

Availability and changes

We may modify, suspend, or discontinue any feature at any time. We may also update these Terms; your continued use of the platform after an update constitutes acceptance of the revised Terms.

Limitation of liability

The platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, FlowTC is not liable for indirect or consequential losses, or for losses arising from market movements, public blockchain networks, third-party venues or issuers, or incorrect information you provide.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited — including liability for fraud or fraudulent misrepresentation, and any rights you may have as a consumer under the mandatory law of your jurisdiction.
